Welcome to www.lilasdesk.co.uk (hereinafter referred to as the “Website”, “We,” “Us,” or “Our”), owned and operated by LILAHUB UK LTD (hereinafter referred to as “the Company”) with its registered office located at Doctor Secretary, 86-90 Paul Street, London, England, EC2A 4NE.

The Website is offered to You conditioned on Your acceptance without modification of the Terms, Conditions, and notices contained herein (the “Terms”).

1. INTRODUCTION

Our Platform connects You with freelance administrative assistants who can work remotely or at Your office/reception.

None of the services are provided by LILAHUB UK LTD. The Platform only connects clients with freelance administrative assistants who can work remotely or at the client’s office/reception.

By clicking on the “Accept” button or otherwise using the Platform, You agree to be bound by these Terms and Conditions.

By accessing this Website and/or undertaking any activity through it, You are deemed to have read and agreed to the Terms herein together with any documents or policies referenced or linked.

2. ELIGIBILITY OF THE USER

You may use the Platform only if You are at least eighteen (18) years of age and can form a binding contract with Us under the laws of the Republic of England and Wales.

Unauthorised Users are strictly prohibited from accessing or attempting to access, directly or indirectly, the Platform.

We reserve the right, at Our sole discretion, to refuse access to or use of the Platform to any person or entity and to change eligibility criteria at any time.

3. SERVICES OFFERED BY THE PLATFORM

We provide a Platform through which Clients may connect with freelancers and obtain administrative services, which can be delivered remotely or physically at the Client’s office/reception.

Scope of Services: Services include, without limitation, telephone and email answering, sending correspondence, arranging appointments, document and data handling, and any other administrative work agreed with the Client.

Performance and Availability: Service Providers must perform the Services with due care, skill, and diligence and use best endeavours to promote the Client’s interests. If a Service Provider is unable to provide the Services due to illness or injury, they shall notify the Client and LILAHUB UK Ltd promptly. No fee shall be payable for any period during which Services are not provided.

Authority: Unless specifically authorised in writing by the Client, Service Providers shall not have authority to incur expenditure or bind the Client.

Sub-contracting: LILAHUB UK LTD or a Service Provider may subcontract tasks, remaining responsible for the subcontractor’s performance.

Fees and Invoices: Service fees are as displayed on each freelancer’s profile in the Platform and may differ from freelancer to freelancer. Fees are considered to be accepted and agreed by appointing a freelancer or accepting a bid. Invoices are issued either at the completion of a task or upon agreeing on a task, depending on the nature of the task in question. All invoices are payable upon receipt.

In case of any dispute with the freelancer, the Client is strongly advised to contact the Website’s Admin team via our chat system or by email, stating the nature of the dispute and providing details of the same for investigation.

Payments: Payments may be made by credit/debit card (Visa, Mastercard/Maestro, Amex, Diners) via Stripe, or by international bank transfer to LILAHUB UK LTD’s designated account. All payments are in GBP. If payment is made in another currency, card-scheme/bank exchange rates apply.

Late Payment: Overdue amounts bear interest at 3% per annum above the Central Bank of England and Wales reference rate until paid. We may suspend Services for non-payment.

Refunds: Where a refund is due, it will be made using the same payment method as the original transaction—card refunds through the same card; bank-transfer refunds by transfer to the original payer’s account. Timeframe of processing the refund is subject to the relevant Banks’ procedures and processing times. LILAHUB UK Ltd shall accept no liability for any delay due to the said Bank procedures.

4. YOU AGREE AND CONFIRM

  1. You shall use the Services only for lawful purposes and in compliance with all applicable laws.
  2. You shall provide accurate and truthful information and keep it current.
  3. You access and use the Services at Your sole risk.
  4. You shall not post or transmit any unlawful, threatening, defamatory, obscene, or otherwise objectionable content.
  5. You shall not infringe the intellectual-property or privacy rights of others.
  6. You shall not alter, damage, or delete content that is not Your own or interfere with others’ access to the Platform.
  7. You shall indemnify LILAHUB UK LTD against all claims or losses arising from Your acts or omissions.
  8. You shall grant LILAHUB UK LTD and Service Providers reasonable access to systems or information required to perform agreed Services and provide necessary guidance or policy updates.
  9. You shall provide or communicate accurate task descriptions for the best provision of services.
  10. You shall provide accurate and updated payment details to be able to use or continue using the Platform.

5. WARRANTIES, REPRESENTATIONS AND UNDERTAKINGS

  1. You warrant that these obligations are legal, valid, binding, and enforceable under England and Wales law.
  2. You confirm no proceedings are pending that could affect Your performance.
  3. You agree to comply with all applicable statutory and tax requirements.
  4. You confirm You have adequate rights to enter this Agreement and have not infringed third-party rights.

6. INTELLECTUAL PROPERTY RIGHTS

  1. All materials, code, and content on the Platform are owned by LILAHUB UK LTD or its licensors and are protected by copyright, trademark, and other intellectual-property laws.
  2. Nothing in these Terms grants You any licence or right to use LILAHUB UK LTD’s intellectual property except with prior written consent.
  3. Each party retains ownership of its own trademarks, logos, and content.

7. DATA

  1. “Data” means identifiable information about Users collected by LILAHUB UK LTD or its Service Providers.
  2. Users shall not resell or disclose Data to third parties.
  3. GDPR Roles. LILAHUB UK LTD acts as Data Controller for Website data and as Data Processor for Client data processed on behalf of Clients.
  4. Freelancers act as Data Processors when handling Clients’ personal data shared with them during the course of providing services.
  5. Security: LILAHUB UK LTD implements technical and organisational measures to safeguard personal data, including access controls, encryption, and confidentiality undertakings.
  6. Retention: Data processed for Clients is retained for up to twenty-four (24) months after termination unless a longer period is required by law.
  7. Card Data: Card payments are processed through PCIStripe. Terms and Conditions of Stripe apply. You can access Stripe’s data processing agreement here. Card numbers are not stored on our systems; 3-D Secure and SSL/TLS encryption are applied.
  8. International Transfers: Cross-border transfers comply with GDPR safeguards such as Standard Contractual Clauses.

8. RELATIONSHIP

  1. Nothing in these Terms creates a partnership, joint venture, or employment relationship between LILAHUB UK LTD and Users or Service Providers.
  2. Service Providers are independent contractors; LILAHUB UK Ltd acts solely as an intermediary Platform.
  3. Service Providers are not allowed to provide their services out of the Platform and by using the Platform, the Client agrees not to contact or collaborate with any Service Provider outside of the Platform.
  4. All communications between Clients and Freelancers must occur via the Platform or designated WhatsApp channels.

9. INDEMNITY

Users shall indemnify and hold harmless LILAHUB UK LTD, its directors, employees, and agents from any claims, damages, or costs (including legal fees) arising from breach of these Terms or violation of law.

10. EXPRESS RELEASE

You release and waive all claims against LILAHUB UK LTD, its affiliates, and employees arising from Your use of the Platform, including disputes between Users or with Service Providers.

11. LIMITATION OF LIABILITY

  1. LILAHUB UK LTD shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, or data.
  2. LILAHUB UK Ltd’s aggregate liability shall not exceed the total fees paid by You for the Services giving rise to the claim.
  3. Nothing excludes liability for fraud, death, or personal injury caused by negligence.

12. TERMINATION

  1. Either party may terminate these Terms by giving thirty (30) days’ written notice.
  2. LILAHUB UK LTD may terminate immediately for material breach, insolvency, or unlawful activity.
  3. During any notice period, both parties remain bound to perform their obligations.

13. EFFECTS OF TERMINATION

  1. Upon termination, LILAHUB UK LTD shall cease providing Services and may deactivate Your account.
  2. Termination does not affect accrued rights or obligations.
  3. Clauses on payments, data, intellectual property, limitation of liability, and indemnity survive termination.

14. GOVERNING LAW AND DISPUTE RESOLUTION

  1. These Terms are governed by and construed in accordance with the laws of the Republic of England and Wales.
  2. The courts of London, England and Wales have exclusive jurisdiction over any dispute.
  3. If a dispute arises between Users, LILAHUB UK LTD is under no obligation to mediate or intervene but may, at its discretion, remove or suspend accounts to protect Platform integrity.

15. DISCLAIMER

  1. To the fullest extent permitted by law, LILAHUB UK LTD disclaims all warranties, express or implied, regarding the Website, Services, and content.
  2. While LILAHUB UK Ltd maintains strict internal protocols, monitoring systems, and verification procedures to ensure quality, it cannot guarantee flawless performance by Service Providers.
  3. Our controls make the likelihood of error or misconduct a remote scenario, but Users acknowledge that the Company cannot be held liable for actions or omissions of independent Service Providers.
  4. LILAHUB UK Ltd does not warrant uninterrupted or error-free operation of the Website or that defects will be corrected.

16. NOTICES

  1. Notices to LILAHUB UK LTD must be sent to support@lilasdesk.co.uk or delivered to its registered address in London, England and Wales.
  2. Notices to Users will be sent to the email or mailing address provided at registration.
  3. Any complaints or service concerns may also be raised through the same contact details.

17. AMENDMENT

  1. LILAHUB UK LTD may modify these Terms from time to time. Revisions will be posted on the Website and become effective thirty (30) days after posting. Continued use of the Platform constitutes acceptance of the revised Terms.
  2. LILAHUB UK LTD may alter, suspend, or discontinue parts of the Website without liability to Users.

18. FORCE MAJEURE

Except for payment obligations, neither party shall be liable for delay or failure to perform due to causes beyond reasonable control, including failures of third-party software, network outages, acts of God, war, strikes, epidemics, or government actions.
